MAP Agreement
This Minimum Advertised Price (MAP) Agreement ("Agreement") is entered into between Communal Cowboy (referred to as "Supplier") and [Your Company Name] (referred to as "Retailer"). This Agreement establishes the terms and conditions regarding the advertising and promotion of Supplier's products on Retailer's website, wholesale.communalcowboy.com ("Website").
1. Definitions
a. "MAP" refers to the Minimum Advertised Price set by the Supplier for each product. b. "Product(s)" refers to the clothing items offered by the Supplier. c. "Retailer" refers to the party responsible for advertising and selling the Products on the Website. d. "Supplier" refers to Communal Cowboy, the owner and distributor of the Products.
2. MAP Policy
a. Retailer acknowledges and agrees that Supplier has established a Minimum Advertised Price (MAP) for all Products, as outlined in the Supplier's MAP Pricing List provided to the Retailer. Retailer shall not advertise or promote any Products below the established MAP.
3. Advertising Guidelines
a. Retailer agrees to prominently display the MAP for each Product on the Website. The advertised price should not be lower than the established MAP. b. Retailer may display the Products below the MAP price only after customers add them to the shopping cart, or during checkout, as long as the final purchase price complies with the MAP.
4. Online Advertising
a. Retailer shall not use any advertising methods that could result in the Products being displayed below the MAP. b. Retailer shall refrain from any advertising practices such as "click for price" or "see price in cart" that enable customers to view a price lower than the established MAP.
5. Exceptions
a. Retailer may offer limited-time promotions, discounts, or sales on the Products. However, the advertised price shall not be lower than the MAP during these promotions. b. Retailer may offer bundled promotions with other products as long as the MAP for the Products is not compromised.
6. Monitoring and Compliance
a. Supplier reserves the right to monitor Retailer's compliance with the MAP policy using reasonable methods, such as manual checks or automated software. b. In case of non-compliance, Supplier will notify Retailer and provide a reasonable time period for correction. c. In the event of repeated or deliberate non-compliance, Supplier reserves the right to terminate the business relationship with Retailer.
7. Agreement Term
This Agreement shall be effective as of the date of acceptance by both parties and shall remain in effect until terminated by either party. Either party may terminate this Agreement with a written notice of 30 days.
8. Miscellaneous
a. This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings or agreements, whether written or verbal, relating to the subject matter hereof. b. Any modification to this Agreement shall be in writing and signed by both parties. c. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Supplier is based.
By accepting this MAP Agreement, Retailer acknowledges and agrees to comply with the terms and conditions stated above.
